These Terms form an agreement between Grid Nova and each person approved to join the Grid Nova Associate Network. Part A applies to everyone. Part B applies to Associates. Part C applies to Preferred Associates. By submitting your registration and accepting these Terms, you agree to be bound by them.
PART A — COMMON TERMS
A1. Your relationship with Grid Nova
You are an independent person working on your own account. You are not an employee, partner, franchisee or legal agent of Grid Nova. You cannot sign contracts, make commitments, quote prices, or accept money on Grid Nova's behalf, except as these Terms expressly allow.
A2. No fee, no deposit
Grid Nova does not currently charge any registration fee, joining fee or security deposit to join the Network. If anyone asks you for money to join, report it to us immediately.
A3. Who can join
You must be at least 18 years old, resident in India, and hold a valid PAN and a bank account in your own name. Grid Nova may approve or decline any application at its discretion and will record the reason for a decision.
A4. Registration and verification
You must give true, complete and current information and keep it up to date. Grid Nova will verify your application, including by a verification phone call, before approval. Providing false information or documents is grounds for rejection or immediate termination and may be reported to the authorities.
A5. Your Associate ID and ID card
On approval you receive a unique Associate ID, a Grid Nova ID card and a welcome letter (digital), plus a welcome kit (physical). The ID card and kit remain Grid Nova property. The ID card carries a QR code that lets anyone confirm your status online. You must return or stop using them if your association ends.
A6. Your account
Your portal account is personal to you. Do not share your login. You are responsible for everything done through your account.
A7. Introducing customers
- You collect customer information yourself, in person, and enter it in your portal. You must explain to the customer why the information is collected, using the Customer Information Notice, and record their agreement.
- Every detail you enter must be true and collected from the customer or their documents. Site photographs must be taken on site through the portal.
- A customer is attributed to the first Associate whose complete submission is verified by Grid Nova. The attribution stays with that Associate for 90 (Pending confirmation by Grid Nova) days, or until the project is completed or closed, whichever applies under the Commission & Payout Policy.
A8. What you must never do
- Accept cash, or ask a customer to pay any money to you or to any account other than Grid Nova's.
- Promise a price, discount, subsidy, approval, timeline or warranty that Grid Nova has not confirmed in writing.
- Recommend equipment, brands or categories other than those Grid Nova has approved.
- Use Grid Nova's name, logo or materials except as provided in your kit and portal.
- Share customer data with anyone outside Grid Nova, or use it for any other purpose.
- Pressure, mislead or harass any customer.
A9. Customer data
When you collect customer information for Grid Nova, you do so on Grid Nova's behalf and must follow Grid Nova's instructions. Keep it confidential, do not copy it outside the portal, and delete any copies you hold when asked or when your association ends.
A10. Commission
You earn commission only as set out in the Commission & Payout Policy and the rate schedule shown in your portal.
A11. Suspension and termination
You may leave the Network at any time with 15 (Pending confirmation by Grid Nova) days' written notice through your portal. Grid Nova may suspend or terminate your association with immediate effect for any breach of these Terms, fraud, misconduct or harm to Grid Nova's reputation, and otherwise on 30 (Pending confirmation by Grid Nova) days' notice. Commission already earned on verified payments before termination remains payable, subject to any reversal or recovery under the Commission & Payout Policy.
A12. Confidentiality
Prices, rate schedules, customer lists and business information you receive from Grid Nova are confidential, during and after your association.
A13. Liability
You are responsible for your own conduct and for any loss caused by your breach of these Terms, fraud or negligence.
A14. Changes
Grid Nova may update these Terms and the commission rate schedule with 15 (Pending confirmation by Grid Nova) days' notice in your portal. Continuing in the Network after that date means you accept the change.
A15. Disputes and law
We will first try to resolve any dispute through discussion. These Terms are governed by the laws of India, and courts at Kolkata, West Bengal, have jurisdiction.
PART B — ASSOCIATES
B1. Two ways to work
When you register, you choose, and Grid Nova approves, one of:
- Sales Associate — you find and introduce customers, collect their information and documents, and hand them over to Grid Nova. Grid Nova carries out the site assessment, proposal, installation and completion.
- Execution Associate — in addition, you manage the approved project stages assigned to you: site assessment, document collection, coordination of installation, recording of installed equipment details (including module and inverter serial numbers and DCR status), and follow-up to completion, as instructed and verified by Grid Nova.
B2. Execution standards
Execution Associates must follow Grid Nova's technical, safety and documentation standards, record every installed component exactly as it appears on the equipment, and never record serial numbers from any other installation. Grid Nova verifies each stage before it is marked complete.
PART C — PREFERRED ASSOCIATES
C1. Territory and level
Preferred Associates are appointed to a specific territory and level: State Head (at most two per state), District Head (one per district) or Block Associate. Block is the first level of the network. The level and territory are stated in your approval and ID card. Grid Nova may change them with notice.
C1A. Full scope of work
Preferred Associates may both introduce customers and carry out the approved project stages assigned to them, on the same standards as Execution Associates in Part B (including clause B2).
C2. Your network
You may view and support the Associates and customers within your territory and below your level. You may recommend new applicants in your territory; final approval always rests with Grid Nova.
C3. Responsibilities
You are expected to develop your territory, guide the people in your network, uphold these Terms and report misconduct promptly.
C4. Earnings
In addition to commission on your own customers, you may earn a territory commission on verified business in your territory, as set out in the Commission & Payout Policy.
